These Terms of Service ("Terms") govern your access to and use of the PickaxeSound website, application, and related services (collectively, the "Service"), operated by Pickaxe Sound ("PickaxeSound," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
You must be at least 18 years old to use the Service. The Service relies on third-party AI providers whose terms require users to be 18 or older, and the Service is not directed to anyone under 18. By using the Service you represent and warrant that you are 18 or older.
PickaxeSound provides audio analysis and creative tools for music producers, including local in-browser analysis (such as tempo, key, loudness, and structure detection and audio mastering/export) and AI-powered features (such as detailed analysis, style and remix prompts, and reusable sound profiles). Local features run in your browser; AI features are delivered through third-party AI providers and require credits.
To access certain features you must create an account using a valid email address. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to provide accurate information and to notify us of any unauthorized use. We may suspend or terminate accounts that violate these Terms.
Local analysis and mastering tools are provided free of charge and do not consume credits. We may change, limit, or discontinue free features at any time.
You may cancel your subscription at any time through the customer portal. When you cancel, your plan remains active until the end of the current billing period, after which it will not renew. Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial billing periods or unused credits.
You may only upload audio that you own or have the necessary rights to use. You retain all rights to audio you upload. You grant us a limited license to process your audio solely to provide the Service. Uploaded audio is processed transiently and deleted from our servers after processing.
You agree not to: (a) upload content that infringes others' intellectual property or other rights; (b) use the Service for any unlawful purpose; (c) attempt to abuse, bypass, or overload the Service, its credit system, or its access controls; (d) reverse engineer or resell the Service; or (e) use the Service to create content that is illegal or harmful.
AI features are powered by third-party providers (including Google's Gemini models) and are provided on a best-effort basis. AI outputs, analyses, transcriptions, and suggestions may be inaccurate or incomplete and should not be relied upon as professional advice. Mastering and "polish" features are intended as honest enhancement, not a substitute for professional studio mastering. You are responsible for reviewing and verifying any output before relying on or distributing it.
The Service, including its software, design, and branding, is owned by PickaxeSound and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or to the Service other than the limited right to use it in accordance with these Terms.
The Service relies on third parties, including Stripe (payments), Google Gemini (AI processing), Supabase (authentication and data), and our hosting provider. Your use of the Service may be subject to those providers' terms, and we are not responsible for third-party services.
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any result or output will meet your expectations.
To the maximum extent permitted by law, PickaxeSound will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve (12) months before the claim arose.
You agree to indemnify and hold harmless PickaxeSound from any claims, damages, or expenses arising from your use of the Service, your content, or your violation of these Terms or any law or third-party right.
We may suspend or terminate your access to the Service at any time if you violate these Terms or if we discontinue the Service. You may stop using the Service at any time. Provisions that by their nature should survive termination will survive.
We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where appropriate, provide notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the State of Michigan, United States, without regard to its conflict-of-law principles. You agree to the exclusive jurisdiction of the courts located in the State of Michigan, United States for any disputes arising from these Terms or the Service.
