These Terms of Service ("Terms") govern your access to and use of the PickaxeSound website, application, and related services (collectively, the "Service"), operated by Pickaxe Sound ("PickaxeSound," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
You must be at least 18 years old to use the Service. The Service relies on third-party AI providers whose terms require users to be 18 or older, and the Service is not directed to anyone under 18. By using the Service you represent and warrant that you are 18 or older.
PickaxeSound provides audio analysis and creative tools for music producers, including local in-browser analysis (such as tempo, key, loudness, and structure detection and audio mastering/export) and AI-powered features (such as detailed analysis, style and remix prompts, and reusable sound profiles). Local features run in your browser; AI features are delivered through third-party AI providers and require credits.
To access certain features you must create an account using a valid email address. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to provide accurate information and to notify us of any unauthorized use. We may suspend or terminate accounts that violate these Terms.
Local analysis and mastering tools are provided free of charge and do not consume credits. We may change, limit, or discontinue free features at any time.
You may cancel your subscription at any time through the customer portal. When you cancel, your plan remains active until the end of the current billing period, after which it will not renew. Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial billing periods or unused credits.
You may only upload audio that you own or have the necessary rights to use. You retain all rights to audio you upload. You grant us a limited license to process your audio solely to provide the Service. Uploaded audio is processed transiently and deleted from our servers after processing.
You agree not to: (a) upload content that infringes others' intellectual property or other rights; (b) use the Service for any unlawful purpose; (c) attempt to abuse, bypass, or overload the Service, its credit system, or its access controls; (d) reverse engineer or resell the Service; or (e) use the Service to create content that is illegal or harmful.
AI features are powered by third-party providers (including Google's Gemini models) and are provided on a best-effort basis. AI outputs, analyses, transcriptions, and suggestions may be inaccurate or incomplete and should not be relied upon as professional advice. Mastering and "polish" features are intended as honest enhancement, not a substitute for professional studio mastering. You are responsible for reviewing and verifying any output before relying on or distributing it.
The Service, including its software, design, and branding, is owned by PickaxeSound and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or to the Service other than the limited right to use it in accordance with these Terms.
The Service relies on third parties, including Stripe (payments), Google Gemini (AI processing), Supabase (authentication and data), and our hosting provider. Your use of the Service may be subject to those providers' terms, and we are not responsible for third-party services.
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any result or output will meet your expectations.
To the maximum extent permitted by law, PickaxeSound will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve (12) months before the claim arose.
You agree to indemnify and hold harmless PickaxeSound from any claims, damages, or expenses arising from your use of the Service, your content, or your violation of these Terms or any law or third-party right.
We may suspend or terminate your access to the Service at any time if you violate these Terms or if we discontinue the Service. You may stop using the Service at any time. Provisions that by their nature should survive termination will survive.
We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where appropriate, provide notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the State of Michigan, United States, without regard to its conflict-of-law principles. You agree to the exclusive jurisdiction of the courts located in the State of Michigan, United States for any disputes arising from these Terms or the Service.
You may claim a username and create a public profile page. Songs are private by default. A song only becomes visible to other people when you publish it, and you can unpublish it at any time from Your songs.
When you publish a song you grant PickaxeSound a non-exclusive, worldwide, royalty-free licence to host, stream, display and promote that song within the Service, including on your public profile page, in other users' feeds, and in material promoting the Service. This licence exists so we can technically operate the feature and ends when you unpublish the song or delete your account, except for copies already made by third parties or retained in routine backups.
You keep ownership of everything you publish. We do not claim ownership of your songs.
Publishing does not make your song downloadable by other users. We stream published songs through short-lived links rather than offering a download button. We cannot prevent a determined person from capturing audio that has been played to them, and we make no promise that published songs cannot be copied.
You must not publish a song unless you have the rights to every part of it. Do not publish material that infringes copyright, is hateful, harassing, sexual content involving minors, or otherwise unlawful. Do not use a profile to impersonate another person or to pass off someone else's work as your own.
Any user may report a published song. We may unpublish any song, remove any profile, or suspend any account at our discretion, with or without notice, where we believe these Terms have been broken or where we receive a credible complaint. Unpublishing removes a song from public view; it does not delete your copy.
If you believe your copyright has been infringed by something published on PickaxeSound, email [email protected] with a description of the work, the URL of the material, and your contact details. We will act on credible reports promptly.
Referral rewards. Every account has a referral code. If somebody signs up through your link and later pays for a subscription, you earn a reward. Rewards are credited only after the relevant payment has actually cleared. How often you earn depends on which programme you are in, as set out below.
Attribution is recorded once, when the referred person creates their account, and does not transfer or re-fire afterwards. You may not refer yourself, use multiple accounts to refer yourself, or attribute a referral to an account that already exists. Referral rewards on any payment that is later refunded, reversed or charged back will be removed from your balance.
Standard rewards are paid in credits, not money. You earn 750 credits when a person you referred pays for their first month. This is a one-time reward per person referred: you do not earn again for that same person in later months, however long they stay subscribed. Credits have no cash value, cannot be exchanged for money, and cannot be transferred between accounts.
Creator program. Approved creators earn a cash share instead of credits, and unlike the credits reward it recurs: a percentage of each qualifying subscription payment made by a person they referred, every month, for that person's first 12 subscribed months. The percentage is agreed with each creator individually when they are approved, is set having regard to matters such as the size and nature of their audience, and will not exceed 20%. We will tell you your rate on approval and it is shown in your account. Admission is by application and at our sole discretion, and approval may be withdrawn at any time. Approval is not a guarantee of any level of earnings.
Cash payouts are sent manually, normally monthly, once your balance exceeds US$20. You are responsible for giving us accurate payment details, and for any fees your payment provider charges. We cannot pay to every country, and we may be unable to complete a payout for reasons outside our control; where that happens we will offer the credits equivalent instead.
You are solely responsible for any tax arising on money we pay you, and for reporting it to your own tax authority. We may require tax documentation before making a payout where the law requires it.
We may withhold or reverse any reward, and suspend participation, where we believe a referral was obtained through fraud, self-dealing, spam, misleading claims about the Service, purchased traffic, or any other breach of these Terms. We may change the reward rates or end either program at any time; changes apply to future payments and do not remove rewards you have already properly earned.
When promoting PickaxeSound you must make clear that you receive a reward for referrals, and must not describe the Service inaccurately or make guarantees about results on our behalf. Some jurisdictions require this disclosure by law.
